This is a convenience translation of our German terms (Allgemeine Geschäftsbedingungen). Only the German version is legally binding.
These terms apply to contracts for the search SaaS “Grumeria” between webpowers UG (haftungsbeschränkt) and businesses within the meaning of Section 14 of the German Civil Code (BGB). Contracts with consumers are not offered. Deviating terms only apply if we expressly agree to them.
Provision of a hosted store search (indexing of a product feed, search API, widget, admin interface) in the selected plan with its respective limits (products, searches per month, stores).
The net prices shown during ordering apply, plus statutory VAT. Billing and payment take place monthly in advance via Stripe. The 14-day trial requires no payment method and ends without a paid renewal. If the monthly search quota is reached, the store’s native search takes over, provided the integration is correct. If a product feed exceeds the plan limit, we do not publish an incomplete index; the last complete version remains active until the plan or the feed is adjusted. No automatic additional costs arise.
A paid subscription runs for one month at a time and renews for a further month unless it is cancelled in the customer portal before it ends. Cancellation takes effect at the end of the billing period already paid for.
The customer provides lawful, technically accessible product data, keeps access credentials secret, integrates the widget as instructed and informs end users about the search in line with data protection law. Feed content and landing pages are the customer’s responsibility.
We operate the service with customary care but do not owe uninterrupted availability unless a separate SLA has been agreed. Maintenance, security measures and disruptions of networks or third-party services may limit availability. The intended fallback requires correct integration by the customer. We reserve the right to make reasonable technical changes that do not significantly impair security or the core benefit.
We are liable without limitation for intent, gross negligence, injury to life, body or health and under mandatory statutory provisions. For slightly negligent breaches of essential contractual obligations, liability is limited to the foreseeable damage typical for the contract; otherwise, liability for slight negligence is excluded.
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is Augsburg, to the extent permitted by law. Should any provision be invalid, the remaining provisions remain valid.
